1. Our Services
We provide digital marketing services including but not limited to Search Engine Optimization (SEO), Pay-Per-Click (PPC) advertising, social media marketing, content marketing, email marketing, and web development, as described on our Services pages and in your individual service agreement or proposal.
2. Engagements & Payment
- Services are provided on a project or month-to-month retainer basis as outlined in your signed proposal or agreement.
- Fees are due according to the payment schedule specified in your agreement. Late payments may result in a pause of services.
- Ad spend for paid media campaigns (Google Ads, social ads, etc.) is billed separately from our management fees and is paid directly to the ad platform unless otherwise agreed.
3. No Guaranteed Results
While we use proven, data-driven strategies, digital marketing results depend on many factors outside our control (search engine algorithm changes, market competition, your industry, etc.). We do not guarantee specific rankings, traffic, leads, or revenue outcomes.
4. Cancellation
Month-to-month services may be cancelled by either party with 30 days' written notice, unless a different notice period is specified in your service agreement. Project-based work is governed by the terms of the applicable project agreement.
5. Intellectual Property
Upon full payment, you own the final deliverables created specifically for you (such as website code, ad creative, and content). We retain ownership of our proprietary processes, tools, and pre-existing materials used to deliver our services.
6. Limitation of Liability
To the fullest extent permitted by law, Guru Digital Advertising USA shall not be liable for any indirect, incidental, or consequential damages arising from your use of our services or website.
7. Governing Law
These Terms are governed by the laws of the United States and the state in which our company is registered, without regard to conflict of law principles.
8. Changes to These Terms
We may update these Terms from time to time. Continued use of our website or services after changes are posted constitutes acceptance of the updated Terms.
